1. Agreement and License

This End User License Agreement is a binding agreement between the person or organization using Guest2Owner Professional Edition ("Licensee") and Guest2Owner ("Licensor"). By accepting this Agreement or accessing the administrative or owner portions of the software, Licensee agrees to every term below. Licensor grants Licensee a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the software solely for Licensee's lawful vacation-rental operations and only for the number of installations, users, properties, and environments authorized by Licensor.

2. Ownership

The software, source code, object code, interface designs, workflows, documentation, trademarks, databases, compilations, and all related intellectual property are owned by Licensor or its licensors. The software is licensed, not sold. No ownership rights transfer to Licensee.

3. Restrictions

Licensee shall not copy, sell, rent, lease, sublicense, publish, distribute, white-label, host for unrelated third parties, remove ownership notices, circumvent licensing controls, reverse engineer, decompile, disassemble, derive source code from, create competing derivative products from, or permit unauthorized access to the software except where a restriction is prohibited by applicable law. Licensee shall not use the software to violate law, third-party rights, provider rules, or the Acceptable Use Policy.

4. Accounts and Security

Licensee is responsible for all accounts, credentials, permissions, devices, backups, configurations, and activity under its control. Licensee must promptly disable unauthorized users, maintain secure credentials, install updates, and notify Licensor of suspected compromise.

5. Third-Party Services

The software may connect to payment processors, telecommunications providers, electronic-signature providers, email services, calendar feeds, hosting services, and other third parties. Those services are governed by separate terms. Licensor does not control and is not responsible for their availability, fees, decisions, security incidents, data handling, or acts and omissions.

6. Licensee Responsibilities

Licensee is solely responsible for property listings, rates, availability, reservations, rental agreements, permits, taxes, tax collection and remittance, insurance, refunds, communications consent, accessibility, safety, guest screening, payment disputes, and compliance with all laws and contractual obligations. The software is a technology tool and does not provide legal, tax, accounting, brokerage, property-management, insurance, or financial advice.

7. Updates and Support

Licensor may modify, update, suspend, or discontinue features. Support, maintenance, upgrades, and service levels are provided only as separately agreed. Licensee is responsible for testing updates and maintaining backups before deployment.

8. Confidentiality

Nonpublic software, source code, credentials, documentation, security information, and business information are confidential. Licensee shall protect them using at least reasonable care and disclose them only to authorized persons with a need to know.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. LICENSOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND RESULTS. LICENSOR DOES NOT WARRANT ERROR-FREE OR UNINTERRUPTED OPERATION OR THAT THE SOFTWARE WILL SATISFY ANY PARTICULAR LEGAL OR BUSINESS REQUIREMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, BOOKINGS, GOODWILL, OR BUSINESS INTERRUPTION; OR CLAIMS ARISING FROM THIRD-PARTY SERVICES, PROPERTY CONDITIONS, GUESTS, OWNERS, PAYMENTS, TAXES, COMMUNICATIONS, OR SECURITY EVENTS. LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT LICENSEE PAID LICENSOR FOR THE SOFTWARE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF NO AMOUNT WAS PAID.

11. Indemnification

Licensee shall defend, indemnify, and hold harmless Licensor and its owners, officers, employees, contractors, successors, and licensors from claims, losses, penalties, damages, judgments, and reasonable legal fees arising from Licensee's properties, listings, users, guests, communications, taxes, payments, agreements, data, legal violations, breach of this Agreement, or infringement of third-party rights.

12. Term and Termination

This Agreement continues until terminated. Licensor may suspend or terminate access immediately for breach, nonpayment, security risk, unlawful activity, or material risk to the platform or others. Upon termination, Licensee must stop using and delete unauthorized copies of the software. Provisions concerning ownership, confidentiality, disclaimers, liability, indemnity, disputes, and interpretation survive.

13. Disputes and General Terms

This Agreement is governed by the law of the jurisdiction where Guest2Owner is principally located, without regard to conflict-of-law rules. Unless prohibited by law, exclusive venue lies in the state and federal courts serving that location. Before filing suit, the parties shall attempt in good faith for thirty days to resolve the dispute after written notice. This Agreement, the Terms of Service, Privacy Policy, Acceptable Use Policy, and any signed order form constitute the entire agreement concerning the software. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. No waiver is continuing. Licensee may not assign this Agreement without written consent.

14. Electronic Acceptance

Electronic acceptance has the same force as a handwritten signature. The acceptance record may include identity, role, date and time, IP address, browser information, document version, and cryptographic hash.
